01Parties & Structure

This summary describes the Master Services Agreement ("MSA") between VENGEANCE TECHNOLOGY CO., LTD., 604 S Imperial Ave, Imperial, CA 92251, United States ("Vengeance"), and each enterprise client ("Client"). The MSA sets the general terms of the relationship; each engagement is defined in a separately executed Statement of Work ("SOW"). If an SOW conflicts with the MSA, the MSA controls unless the SOW expressly states otherwise.

02License Grant

• Client receives a non-exclusive, non-transferable, non-sublicensable license to use the Vengeance platform for its internal business purposes during the SOW term.
• Usage is limited to the seats, repositories, environments and volume-based API quotas specified in the SOW.
• Client may not resell, sublicense, reverse engineer or provide the platform to third parties except as expressly permitted in writing.

03Intellectual Property

• Client retains 100% of all right, title and interest in its source code, repositories, schemas and inputs, and in all outputs and deliverables generated for Client—including review findings, patches, refactored code, SQL recommendations and reports.
• Vengeance acquires no ownership interest in Client materials and receives only a limited, temporary right to process them ephemerally as necessary to perform the services.
• Vengeance retains ownership of its pre-existing platform, software, models and general know-how.

04Deliverables & Acceptance

• Each SOW defines deliverables, milestones, success criteria and timelines.
• Client reviews each milestone within the acceptance period stated in the SOW (ten (10) business days unless otherwise specified) and either accepts it or provides written notice of non-conformities.
• Vengeance remediates documented non-conformities and resubmits the deliverable for acceptance.

05Confidentiality & Data Processing

Each party protects the other's confidential information with at least reasonable care. Client code is processed in memory with zero retention and is never used to train or re-train foundation models. A Data Processing Addendum ("DPA") is available on request.

06Service Levels

Availability commitments, support response times, throughput limits and service credits are defined in the Volume API SLA addendum attached to the applicable SOW.

07Term & Termination

Each SOW states its term. Either party may terminate for material breach not cured within thirty (30) days of written notice. Additional termination rights are defined in each SOW. On termination, all Client adaptation artifacts are deleted and written confirmation is provided on request.

08Fees, Liability & Governing Law

Fees and payment terms are defined in the SOW and the Billing, Invoicing & Milestone Terms. Limitations of liability, indemnities, governing law and venue are set forth in the executed MSA.

01Billing Model

• Vengeance services are sold exclusively to businesses under signed agreements. We do not offer self-serve subscriptions and do not place automatic recurring charges on payment cards.
• Fees may consist of enterprise license fees, volume-based API quota fees and milestone fees for custom deployments, each defined in the SOW.
• All amounts are quoted and invoiced in U.S. Dollars (USD) unless the SOW states otherwise.

02Milestones

• Milestone deliverables and their associated fees are listed in the SOW.
• Milestone fees become invoiceable upon Client's written acceptance, or upon expiry of the acceptance period without written notice of non-conformity.
• PoC fees, if any, are stated in the SOW before the PoC begins.

03Invoicing & Payment

• Invoices are issued electronically to Client's designated billing contact, consolidated monthly or quarterly, or upon milestone acceptance, as defined in the SOW.
• Standard payment terms are Net 30 from the invoice date unless the SOW specifies otherwise.
• Accepted methods: domestic or international wire transfer, ACH bank transfer, or corporate card payment against an issued invoice.
• Each invoice references the SOW, billing period, milestone or quota, and itemized amounts.

04Billing Disputes

Notify [email protected] in writing of any disputed amount within fifteen (15) days of the invoice date. The parties will resolve disputes promptly and in good faith; undisputed amounts remain payable by the due date.

05Cancellation

• Cancellation and termination rights, notice periods and any applicable fees are explicitly defined in each SOW and the MSA.
• Cancellation requests must be submitted in writing to [email protected] and are confirmed in writing.
• Fees for services performed and milestones accepted before the effective cancellation date remain payable.
• Renewals occur only by mutual written agreement or as expressly provided in the executed agreement.

06Refunds & Credits

• Fees for accepted milestones and license periods already delivered are non-refundable, except as expressly provided in the SOW or MSA.
• Where an agreement is terminated in accordance with its terms, prepaid fees for services not yet delivered are refunded or credited pro rata as specified in the agreement.
• Verified billing errors are corrected by credit note or refund to the original payment method.
• SLA service credits, where applicable, are applied as defined in the Volume API SLA addendum.

02Platform Data — Ephemeral, Non-PII

• The platform parses syntax trees (AST), source code text, query plans and pipeline definitions only. It does not require, request or intentionally process personal identity data, personal telemetry or PII.
• Client code is processed ephemerally in memory and released at the end of each processing session. Source code is not written to persistent storage.
• Pre-inference filters detect and redact credential and personal-data patterns before processing.
• Client code and outputs are never used to train or re-train foundation models and are never shared across clients.
• Operational audit logs record access metadata only (timestamps, job identifiers, service accounts)—never code content.

03Website & Business Contact Data

• When you submit an inquiry, we receive the business contact information you provide (name, work email, company and inquiry details). We use it solely to respond to your inquiry and administer any resulting business relationship.
• We do not sell or "share" personal information as defined under the CCPA/CPRA, and we do not use advertising or cross-site tracking cookies.
• This website loads fonts and code libraries from third-party content delivery networks, which may receive standard technical request data (such as IP address and browser type) in order to deliver those files.
• Business contact data is kept only as long as needed for the purpose collected or as required by law, and is deleted upon verified request.

04Legal Basis (GDPR)

Where the GDPR applies, we process business contact data based on our legitimate interest in responding to business inquiries and, where applicable, to prepare or perform a contract. Where we process client data as a processor, we act on the client's documented instructions under our DPA.

05Your Rights

• Right to know and access the personal information we hold about you.
• Right to correction and deletion.
• Right to opt out of sale or sharing (we do not sell or share).
• Right to restrict or object to processing, and to data portability (GDPR).
• Right to non-discrimination for exercising your rights, and to lodge a complaint with a supervisory authority.

06Security

AES-256-GCM encryption at rest, TLS 1.2+ in transit, least-privilege access and tenant isolation. See the Security Protocol.

07Children

Our services are offered exclusively to businesses and are not directed to individuals under 16. We do not knowingly collect their information.

08Changes

Updates are posted on this page with a revised "Last updated" date. Material changes affecting clients are also communicated directly.

05Intellectual Property

Website content, trademarks and design are owned by Vengeance. You may view and print pages for evaluating our services. Client intellectual property in engagements is addressed in the MSA, under which the client retains 100% of its code and deliverables.

06Disclaimer & Limitation

The website is provided "as is" without warranties of any kind. To the extent permitted by law, Vengeance is not liable for indirect or consequential damages arising from use of the website.

07Governing Law

These website Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
